Terms and Conditions of Sale

These Terms and Conditions of Sale ("Terms") govern all purchases made through any website operated by Initra Energija d.o.o. ("we", "us", "the Seller"), including but not limited to tigoenergy.shop and all regional tigoenergy.* domains. By placing an order, you ("the Buyer", "Customer") confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, do not place an order.

1. Definitions

"Seller" means Initra Energija d.o.o., Podsmreka 59A, 1356 Dobrova, Slovenia, VAT ID SI62518313, registration number 9624007000. "Buyer" or "Customer" means the natural person (consumer/B2C) or legal entity (business/B2B) placing an order. "Products" means all goods offered for sale on our websites, including but not limited to Tigo Energy module-level power electronics, optimizers, rapid-shutdown devices, communication gateways, and accessories. "B2C Customer" means a natural person purchasing products for personal, non-commercial use. "B2B Customer" means a legal entity, sole proprietor, or any person acting in the course of a trade, business, craft, or profession. "Order" means a binding offer to purchase placed through our website. "Contract" means the agreement formed upon our written confirmation of the order.

2. Eligibility

By placing an order you represent and warrant that: (a) you are at least 18 years of age or the age of legal majority in your jurisdiction; (b) you have the legal capacity and authority to enter into a binding contract; (c) if ordering on behalf of a business entity, you have the authority to bind that entity to these Terms; (d) all information you provide is accurate, current, and complete. We reserve the right to refuse or cancel any order if we have reasonable grounds to believe any of these conditions are not met.

3. Orders and Contract Formation

An order placed through our website constitutes a binding offer by the Buyer to purchase the selected products. The contract between the Seller and the Buyer is formed only upon our dispatch of a written order confirmation (by email). We reserve the right, at our sole discretion, to decline or cancel any order, in whole or in part, for any reason, including but not limited to: product unavailability, pricing errors, suspected fraud, violation of these Terms, or failure to verify Buyer identity or payment. An order confirmation does not constitute a guarantee of availability. If we are unable to fulfil an order after confirmation, we will notify you and issue a full refund for any amounts already paid.

4. Pricing and Currency

All prices displayed on our website are in euros (EUR) unless otherwise explicitly stated. Prices for B2C customers include applicable value-added tax (VAT) at the rate required by the destination country under the EU One Stop Shop (OSS) scheme or the applicable local rate. Prices for B2B customers are displayed excluding VAT; applicable VAT will be calculated at checkout based on the delivery country and your VAT registration status. Valid EU VAT numbers provided at checkout may qualify for a reverse-charge (0% VAT) transaction. We reserve the right to change prices at any time without notice, but price changes will not affect orders already confirmed. In the event of a manifest pricing error (e.g., a product listed at €0.01 instead of its actual price), we reserve the right to cancel the order and refund any payment received.

5. Payment Terms

Payment must be received in full before dispatch of goods unless a written credit agreement has been established. We accept payment by bank transfer and such other methods as may be displayed at checkout. For bank transfers, payment must be received within 5 business days of order confirmation; failure to pay within this period entitles us to cancel the order without further notice. For B2B customers with an approved credit account, payment terms are as specified in the individual credit agreement; in the absence of such agreement, payment is due immediately upon invoice. Late payments shall incur statutory interest at the rate prescribed by Slovenian law (currently 8% above the ECB reference rate for commercial transactions). We reserve the right to withhold delivery until all outstanding amounts, including any overdue invoices from prior transactions, are settled in full.

6. Shipping and Delivery

We ship to all countries where we operate regional storefronts. Shipping costs, estimated delivery times, and available carriers are displayed at checkout and may vary by destination, weight, and chosen service level. Delivery times are estimates only and are not guaranteed. We shall not be liable for any loss, damage, or cost arising from delayed delivery, including but not limited to consequential losses, lost profits, or project delays. Where a delivery is attempted and unsuccessful due to the Buyer's absence, incorrect address, or refusal to accept, any additional delivery charges incurred shall be borne by the Buyer. If the parcel is returned to us as undeliverable, we may deduct the cost of return shipping and any re-delivery charges from the refund.

7. Transfer of Risk and Title

For B2C customers, the risk of loss or damage to the products passes to the Buyer upon physical delivery to the Buyer or a person designated by the Buyer (excluding the carrier). For B2B customers, the risk of loss or damage passes to the Buyer at the moment the products are handed over to the first carrier for dispatch ("ex works" principle). Title to the products shall remain with the Seller until full payment has been received. In the event of late or non-payment, the Seller reserves the right to reclaim the products at the Buyer's expense.

8. Inspection of Goods

The Buyer must inspect all goods immediately upon receipt. Any visible damage, shortages, or discrepancies must be reported to us at support@tigoenergy.shop within 24 hours of delivery. The delivery timestamp recorded by the carrier (e.g., DPD scan or delivery notification) constitutes the start of this 24-hour window. For parcels delivered by DPD or other tracked carriers, you must also note any external damage on the carrier's proof-of-delivery or electronic device at the time of receipt. Claims for visible damage or shortage submitted after the 24-hour period, or without notation on the carrier's records, may be rejected at our sole discretion. Photographs of the damaged items and packaging are required for all damage claims.

9. Right of Withdrawal (B2C Customers Only)

In accordance with EU Directive 2011/83/EU and Slovenian Consumer Protection Act (ZVPot-1), B2C customers have the right to withdraw from the contract within 14 calendar days from the date on which the Buyer or a third party designated by the Buyer (other than the carrier) acquires physical possession of the goods, without giving any reason. To exercise this right, you must inform us of your decision by a clear statement sent to support@tigoenergy.shop before the 14-day period expires. You may use the return request form available in your order history on our website. Upon exercising the right of withdrawal, you must return the goods to us without undue delay and in any event no later than 14 days from the date of the withdrawal notice. The goods must be returned in their original, unopened, and undamaged packaging, complete with all accessories, manuals, and documentation. You bear the direct cost of returning the goods. We will refund all payments received from you, including the original delivery costs (except supplementary costs arising from your choice of a delivery method other than the least expensive standard delivery offered), within 14 days of receiving the returned goods or proof of dispatch, whichever is earlier. We may withhold the refund until we have received the goods back and verified their condition.

10. Returns and Refund Conditions

All returns are subject to inspection upon receipt at our warehouse. Products must be returned in their original, unopened, and undamaged condition, including all original packaging, labels, seals, accessories, and documentation. Products that have been opened, installed, used, modified, or damaged by the Buyer will not be accepted for return or will be subject to a deduction reflecting the diminished value, at our sole discretion. A minimum restocking fee of 25% of the product value applies to all returns received within 7 days of the return request. Returns received after 7 days but within the 14-day withdrawal period are subject to a restocking fee of up to 50%. Returns shipped without prior authorization (no RMA number) will be refused. Refunds will be processed using the same payment method used for the original purchase within 14 days of our receipt and inspection of the returned goods. 11. B2B Customers — Special Terms

All sales to B2B customers are final. Business customers expressly waive the right of withdrawal provided to consumers under EU Directive 2011/83/EU and any implementing national legislation. Returns from B2B customers are accepted solely at the discretion of Initra Energija d.o.o. and only with prior written authorization. If you submit a return request as a B2B customer and do not receive a response from us within 48 hours, your request is deemed rejected. Where a return is exceptionally authorized, restocking fees of at least 25% apply, and the Buyer bears all return shipping costs. B2B customers are responsible for verifying product suitability, compatibility, and compliance with local regulations before placing an order. The Seller shall not be liable for any losses, damages, or costs arising from the Buyer's failure to verify product suitability. B2B pricing, payment terms, and conditions may differ from those offered to B2C customers. Any individually negotiated terms shall take precedence over these general Terms to the extent they conflict.

12. Warranty and Manufacturer Guarantees

Tigo Energy products carry manufacturer warranties as specified by Tigo Energy, Inc. (up to 25 years for MLPE components, subject to Tigo's current warranty terms). The Seller (Initra Energija d.o.o.) acts solely as a distributor and does not manufacture any of the products sold. Accordingly, the Seller makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. All warranty claims are processed through and subject to the manufacturer's warranty policy. We will assist customers in facilitating warranty claims with the manufacturer where reasonably possible, but we do not guarantee the outcome of any claim. The Seller's sole obligation under this section is to pass warranty claims to the manufacturer and relay responses to the customer.

13. Limitation of Liability

To the maximum extent permitted by applicable law: (a) The Seller's total aggregate liability arising out of or in connection with any order, contract, or these Terms shall not exceed the total amount paid by the Buyer for the specific order giving rise to the claim. (b) The Seller shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunities, business interruption, cost of substitute goods or services, project delays, installation delays, system downtime, or any claims by third parties, even if the Seller has been advised of the possibility of such damages. (c) The Seller shall not be liable for any loss or damage caused by: the Buyer's failure to inspect goods upon receipt; improper installation, use, storage, or maintenance of products; use of products in a manner inconsistent with product documentation or applicable regulations; modifications or alterations made by the Buyer or third parties; normal wear and tear; or any event of force majeure. (d) Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable mandatory law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

14. Intellectual Property

All content on our websites — including but not limited to text, graphics, logos, images, product descriptions, software, and the overall design and layout — is the property of Initra Energija d.o.o. or its licensors and is protected by copyright, trademark, and other intellectual property laws. "Tigo", "Tigo Energy", the Tigo logo, and all Tigo product names are registered trademarks of Tigo Energy, Inc. and are used by us under authorization. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any content from our websites without our prior written consent. Any unauthorized use may violate copyright, trademark, and other laws and could give rise to civil and criminal liability.

15. Product Information and Accuracy

We make every effort to ensure that product descriptions, specifications, images, and prices on our website are accurate and up to date. However, we do not warrant that product descriptions or other content is complete, accurate, reliable, current, or error-free. Product images are for illustrative purposes only and may differ from the actual product in colour, size, or appearance. Where a product is described as including specific technical specifications, such specifications are provided by the manufacturer and the Seller does not independently verify them. If a product you receive does not match its description in a material respect, your sole remedy is to return it in accordance with the applicable return procedure set out in these Terms.

16. Prohibited Uses

You agree not to: (a) use our website or services for any unlawful purpose or in violation of any applicable local, national, or international law or regulation; (b) place fraudulent orders, use stolen payment credentials, or provide false identity or address information; (c) resell products purchased from us in a manner that infringes the Tigo Energy authorized distribution network or undermines authorized pricing structures without our prior written consent; (d) attempt to circumvent, disable, or interfere with any security features of our website; (e) use automated scripts, bots, or data-mining tools to access, scrape, or monitor our website; (f) impersonate any person or entity or misrepresent your affiliation with any person or entity. We reserve the right to suspend or terminate your access and cancel any pending orders if we reasonably believe you have engaged in any prohibited activity.

17. Data Protection

We process personal data in accordance with the EU General Data Protection Regulation (GDPR) and applicable Slovenian data protection legislation. For full details on what personal data we collect, how we use it, the legal basis for processing, your rights as a data subject, and how to exercise those rights, please refer to our Privacy Policy available at the "Privacy Policy" link in the footer of our website. By placing an order, you acknowledge that processing of your personal data is necessary for the performance of the contract.

18. Force Majeure

The Seller shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond the Seller's reasonable control, including but not limited to: natural disasters, epidemics, pandemics, war, terrorism, civil unrest, government sanctions or embargoes, import or export restrictions, strikes, labor disputes, power outages, internet or telecommunications failures, fire, flood, earthquake, or disruptions to supply chains or logistics networks. In the event of force majeure, the affected obligation shall be suspended for the duration of the event. If the force majeure event continues for more than 60 days, either party may terminate the affected order upon written notice.

19. Governing Law

These Terms and any contract formed under them shall be governed by and construed in accordance with the laws of the Republic of Slovenia, without regard to its conflict-of-law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded. For B2C customers residing in the EU, nothing in this clause affects your rights under the mandatory consumer protection provisions of your country of residence where those provisions provide a higher level of protection.

20. Dispute Resolution

Any dispute arising out of or in connection with these Terms or any order placed shall first be attempted to be resolved amicably through direct negotiation. If no resolution is reached within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts in Ljubljana, Slovenia. For B2C customers residing in the EU: you may also use the European Commission's Online Dispute Resolution (ODR) platform available at https://ec.europa.eu/consumers/odr/. We are not obliged to participate in alternative dispute resolution procedures before a consumer arbitration board, but we will consider participation on a case-by-case basis.

21. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties, or if modification is not possible, it shall be severed from these Terms.

22. Amendments

We reserve the right to modify these Terms at any time. The updated Terms will be published on our website with a revised "last updated" date. Changes will not apply retroactively to orders already confirmed before the date of the amendment. Your continued use of our website and placement of orders after the publication of amended Terms constitutes your acceptance of the amended Terms. We recommend reviewing these Terms periodically.

23. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Returns & Warranty Policy, constitute the entire agreement between the Buyer and the Seller with respect to the subject matter hereof. They supersede all prior or contemporaneous communications, proposals, and representations, whether oral or written, relating to the purchase of products through our website. No waiver of any provision of these Terms shall be effective unless in writing and signed by the Seller.
